Please read this Service Agreement carefully before using our services. You should fully understand all terms and conditions, especially those relating to limitations of liability or disclaimers, which are highlighted for your attention. If you have any questions regarding this Agreement, please contact the relevant department of Pivot Green Solutions Pte Ltd. (“PGS”).

Unless you have read and accepted all terms of this Agreement and related policies, rules, and notices, you are not authorized to use this service. By clicking “Agree and Submit” (or similar wording shown during registration), completing the registration process, or otherwise accessing or using the service, you acknowledge that you have read, understood, and agreed to be bound by this Agreement and all related rules and policies.

If you violate any provision of this Agreement, PGS reserves the right to unilaterally restrict, suspend, or terminate the services provided to you at any time, and reserves the right to pursue any applicable legal liabilities.

This Service Agreement (“Agreement”) is entered into between you and Pivot Green Solutions Pte Ltd. (“PGS”). This Agreement includes, but is not limited to, the PGS Privacy Policy and other related terms. PGS may amend this Agreement from time to time by publishing updated terms through the software platform without separate notice. Updated terms will automatically become part of this Agreement upon publication. If you do not agree with any revisions, you must immediately stop using the services. Continued use of the services constitutes your acceptance of the revised terms.

1. Definitions

1.1 Licensed Software

Refers to the software system provided by PGS for download, installation, and use on authorized mobile or system devices.

1.2 Services

Refers to the services provided by PGS and its suppliers, accessible through the Licensed Software on compatible devices.

2. Services

2.1

PGS and its suppliers provide smart living and smart device management services. Through the PGS platform, users may connect, monitor, and control compatible smart devices and enable automated interaction between connected devices.

The services may include, but are not limited to:

• Smart device management

• Scene automation

• Device interaction control

• Analytics and reporting features

These services and functions may be optimized, modified, upgraded, suspended, or temporarily unavailable due to maintenance, service enhancements, or operational requirements.

3. Scope of Service

3.1

Subject to this Agreement, PGS grants you a limited, non-transferable license to use the Licensed Software.

3.2

You may not license, sell, rent, lease, transfer, distribute, or otherwise commercially exploit the Licensed Software.

3.3

Due to platform and device compatibility limitations, the Licensed Software may only be used on authorized operating systems and devices. Installation or use on unauthorized devices may result in hardware or software malfunction or damage.

3.4

The Licensed Software is intended solely for non-commercial use unless otherwise authorized in writing by PGS.

3.5

PGS and its suppliers may periodically update, upgrade, or modify the Licensed Software and related functions, including introducing new services or features. Unless separate terms apply, such additional features and services shall also be governed by this Agreement.

3.6

You are solely responsible for the accuracy, legality, reliability, and completeness of all data you input or upload, and for ensuring lawful acquisition of such data. You are advised to regularly back up all data and materials. Any loss or damage to your data shall be your sole responsibility.

3.7

You are responsible for safeguarding your account credentials and password security. If you become aware of any unauthorized access or security breach, including password leakage, you must immediately notify PGS. Otherwise, all activities conducted under your account shall be deemed your responsibility.

4. Third-Party Services

4.1

You acknowledge that certain services provided by PGS and its suppliers may rely on third-party software or services legally authorized for integration.

4.2

The product may contain information and services provided by third parties. PGS and its suppliers do not control such third-party content or services.

4.3

PGS does not guarantee the continued availability of any specific third-party service and reserves the right to replace or discontinue third-party integrations at any time.

5. Acceptable Use

5.1

You agree not to misuse the Licensed Software, including but not limited to:

• Uploading or distributing viruses, malware, worms, or harmful code

• Collecting user information without authorization

• Using automated systems to overload servers or interfere with platform operations

• Attempting unauthorized access to servers, data, or communications

• Interfering with other users’ access or experience

5.2

You acknowledge and agree that PGS may:

1. Determine whether your conduct violates this Agreement;

2. Suspend or terminate your access based on such determination;

3. Remove any unlawful or infringing content;

4. Hold you solely liable for damages caused to third parties;

5. Seek compensation for losses suffered by PGS or its suppliers arising from your breach.

6. Content Standards

6.1

You agree not to use the services for any unlawful, harmful, or inappropriate activities, including uploading, transmitting, or distributing content that:

• Violates applicable laws or regulations

• Threatens national security or public order

• Infringes intellectual property or privacy rights

• Contains defamatory, obscene, fraudulent, violent, hateful, or offensive material

• Promotes illegal activities or harmful conduct

7. Privacy and Data Protection

7.1

PGS values the protection of your personal information. The PGS Privacy Policy explains how information is collected, used, shared, stored, and protected, as well as intellectual property ownership and related matters. You are encouraged to review the Privacy Policy carefully.

8. Disclaimer of Liability

8.1

To the extent permitted by applicable law, PGS will use commercially reasonable efforts to ensure the security, reliability, and accuracy of the Licensed Software and related services. However, due to technological limitations, no guarantee can be provided.

8.2

PGS shall not be liable for any direct or indirect losses caused by force majeure events or third-party factors.

8.3

You assume sole responsibility for any damages or losses arising from:

• Unauthorized third-party use of your account

• Costs or losses incurred through your use of the software

• Misunderstanding or misuse of the software

• Other losses unrelated to PGS

8.4

Any unauthorized software derived from or imitating the Licensed Software that has not been officially released or authorized by PGS is considered illegal. Use of such software is entirely at your own risk.

8.5

You acknowledge that the PGS platform depends on internet and electronic communication services, which may be affected by factors beyond reasonable control, including but not limited to:

• Fire

• Flood

• Natural disasters

• Epidemics

• Cyberattacks

• System failures

• Network interruptions

• Device malfunctions

PGS shall not be liable for service interruptions, delays, or failures resulting from such events.

9. Termination and Breach

9.1

You must use the Licensed Software within the authorized scope and respect all intellectual property rights. Serious violation of this Agreement may result in termination of your license and legal liability.

9.2

Your access to the Licensed Software depends on compliance with all applicable agreements, rules, and policies issued by PGS and its suppliers.

9.3

If you breach this Agreement or any related agreement, PGS may suspend or terminate some or all services and may publicly disclose the breach where legally permitted.

9.4

The Licensed Software is obtained through third-party download platforms. You must also comply with the terms imposed by such platforms, operating systems, or device manufacturers.

9.5

Upon termination of the license, you must immediately cease using the Licensed Software and delete all copies.

9.6

You shall be fully liable for any damages caused to PGS, its suppliers, or other users due to your breach of this Agreement.

10. Governing Law and Dispute Resolution

10.1

This Agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China. In the absence of applicable laws, international commercial practices and industry standards shall apply.

10.2

Any disputes arising from or related to this Agreement shall first be resolved through friendly negotiation. Failing such resolution, disputes may be submitted to the competent courts at the place where this Agreement is executed.

10.3

If any provision of this Agreement is deemed invalid or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
